These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CareerWing, Inc. ("CareerWing," "we," "us," or "our") governing your access to and use of careerwing.ai and all related services, features, and content (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.
You must be at least 18 years of age to use CareerWing. By using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and are not prohibited from using the Service under applicable law.
If you are using CareerWing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" will refer to that entity.
To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately at support@careerwing.ai if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your credentials.
You may not create accounts for others, share your account with others, or use the Service for any purposes other than your own personal career development.
CareerWing offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis, as selected at checkout, and automatically renew at the end of each billing period unless you cancel before the renewal date.
Billing. By subscribing to a paid plan, you authorize us (through our payment processor, Stripe) to charge your payment method on a recurring basis. All prices are in USD and exclude applicable taxes unless otherwise stated.
Cancellation. You may cancel your subscription at any time through the billing portal accessible from your Account page. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until that date. We do not provide pro-rated refunds for partial billing periods.
Refunds. All charges are non-refundable except where required by applicable law or at our sole discretion. If you believe you were charged in error, contact us at support@careerwing.ai within 14 days of the charge.
Price changes. We may change subscription prices with at least 30 days' advance notice. Your continued use of a paid plan after a price change constitutes acceptance of the new price.
Downgrades. If you downgrade or cancel your plan, you will retain your Career GPS Profile, assessment results, saved careers, and coaching history. Features included only in higher-tier plans will no longer be accessible.

CareerWing uses artificial intelligence to generate personalized career guidance, assessments, roadmaps, and coaching responses ("AI Content"). You acknowledge and agree that:
Our content. The Service and all content, features, and functionality (including but not limited to text, graphics, logos, icons, software, and the CareerWing brand) are owned by CareerWing, Inc. or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from our content without our prior written consent.
Your content. You retain ownership of the personal information, career data, and other content you submit to the Service ("User Content"). By submitting User Content, you grant CareerWing a limited, non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing and improving the Service.
AI output ownership. We do not claim ownership of AI-generated outputs personalized to your specific profile. You may use AI Content for your personal career development purposes subject to these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAREERWING DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that (a) the Service will be uninterrupted, error-free, or secure; (b) any information provided through the Service is accurate, complete, or current; (c) results obtained from the Service will meet your expectations; or (d) any errors or defects will be corrected.
Career outcomes depend on many factors outside our control, including the job market, your individual circumstances, and the effort you invest. CareerWing does not guarantee employment, salary increases, promotions, or any specific career outcome.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAREERWING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID TO CAREERWING IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless CareerWing and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights.
The Service may contain links to or integrate with third-party websites, services, or content. These integrations are provided for your convenience and do not constitute our endorsement. We have no control over third-party services and are not responsible for their content, privacy practices, or terms. Your interactions with third parties are governed solely by their terms and policies.
By you. You may delete your account at any time through your Account settings page. Deletion is permanent and removes all your personal data within 30 days (except where retention is required by law).
By us. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately.
Sections 6, 7, 8, 9, 10, and 13 of these Terms survive termination.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
Informal resolution. Before filing a formal claim, you agree to contact us at support@careerwing.ai and attempt to resolve the dispute informally. We will try to resolve your concern within 30 days.
Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place on an individual basis — class actions and class arbitrations are not permitted. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims involving intellectual property rights or unauthorized access to the Service.
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice within the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and CareerWing regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
